1. Agreement to Terms

By accessing or using the DuoDevs Pvt Ltd website (duodevelopers.com) or any of our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and DuoDevs Pvt Ltd ("Company," "we," "our," or "us").

2.1 Service Description

DuoDevs Pvt Ltd provides professional software development services, including but not limited to:

  • Custom software development
  • SaaS product development
  • Web application development
  • Mobile app development (iOS & Android)
  • UI/UX design services
  • API development and integrations
  • Cloud solutions and DevOps
  • Maintenance and support services
  • AI and automation solutions

2.2 Service Delivery

Services are delivered according to project-specific agreements, statements of work (SOW), or service contracts that outline scope, deliverables, timelines, and pricing. Each project engagement is governed by these Terms in addition to the specific project agreement.

3. Project Engagement Process

3.1 Consultation and Proposal

All projects begin with a discovery consultation (free of charge) where we understand your requirements. Following this, we provide a detailed proposal outlining scope, timeline, deliverables, and cost.

3.2 Agreement and Deposit

Once you accept our proposal, we require a signed service agreement and an initial deposit (typically 30-50% of the project cost) before commencing work. Payment terms are specified in the project agreement.

3.3 Development Process

We follow an agile development methodology with regular check-ins, bi-weekly demos, and continuous feedback loops. Changes to project scope require written approval and may affect timeline and cost.

4. Client Responsibilities

To ensure successful project delivery, clients agree to:

  • Provide timely feedback and approvals at each project milestone
  • Supply necessary access to systems, accounts, and resources
  • Provide accurate and complete project requirements
  • Designate a primary point of contact for communications
  • Make payments according to the agreed schedule
  • Respond to communication within 48 business hours
  • Review and test deliverables within the agreed timeframe

5. Payment Terms

5.1 Pricing and Fees

All prices are quoted in USD and are valid for 30 days from the proposal date. Project costs are based on estimated hours, complexity, and resource allocation.

5.2 Payment Schedule

Payment schedules vary by project size but typically follow this structure:

  • Initial deposit: 30-50% upon contract signing
  • Milestone payments: Based on completed phases
  • Final payment: Upon project completion and acceptance

5.3 Late Payments

Invoices are due within 15 days of receipt. Late payments may incur a 1.5% monthly interest charge and may result in work suspension until payment is received.

5.4 Additional Costs

Third-party costs (hosting, licenses, APIs, stock assets) are billed separately unless included in the project agreement. Scope changes may result in additional charges.

6. Intellectual Property

6.1 Client Ownership

Upon full payment, all custom code, designs, and deliverables created specifically for your project become your property. We transfer all intellectual property rights to you via an IP assignment agreement.

6.2 Pre-existing Materials

We retain ownership of our pre-existing code libraries, frameworks, tools, and methodologies. You receive a perpetual license to use these materials as part of your delivered solution.

6.3 Third-Party Components

Projects may include open-source libraries and third-party components, each governed by their respective licenses. We ensure all third-party components are properly licensed.

6.4 Portfolio Rights

We reserve the right to showcase your project in our portfolio, case studies, and marketing materials unless a non-disclosure agreement specifies otherwise.

7. Confidentiality

We treat all client information as confidential and will not disclose your business information, trade secrets, or proprietary data to third parties. We are willing to sign mutual non-disclosure agreements (NDAs) upon request.

8. Warranties and Disclaimers

8.1 Quality Assurance

We warrant that all services will be performed in a professional and workmanlike manner consistent with industry standards. We conduct thorough testing before delivery.

8.2 Bug Fixes

We provide a 30-day warranty period for bug fixes on delivered work. This covers defects in functionality as defined in the project specification, not feature enhancements or scope changes.

8.3 Disclaimer

Except as expressly stated, we provide services "as is" without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law, DuoDevs Pvt Ltd' total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption.

10. Project Cancellation and Termination

10.1 Client Cancellation

Clients may cancel projects with 15 days' written notice. Upon cancellation, client is responsible for payment of all work completed to date, plus any non-refundable third-party costs. Initial deposits are non-refundable.

10.2 Company Termination

We reserve the right to terminate projects if client fails to make payments, provide necessary materials, or violates these Terms. Upon termination, all completed work and payment obligations remain due.

10.3 Delivery Upon Termination

Upon project termination, we will deliver all completed work once all outstanding payments are received. Work-in-progress may be delivered at our discretion.

11. Support and Maintenance

Post-launch support and maintenance services are available through separate service agreements. We offer various support tiers including 24/7 monitoring, bug fixes, security updates, and feature enhancements.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government restrictions.

13. Dispute Resolution

13.1 Negotiation

In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation.

13.2 Mediation

If negotiation fails, disputes shall be submitted to mediation before pursuing litigation.

13.3 Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

14. General Provisions

14.1 Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between the parties and supersede all prior discussions and agreements.

14.2 Amendments

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the revised Terms.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14.4 Assignment

Clients may not assign or transfer these Terms without our written consent. We may assign these Terms to affiliates or in connection with a business transfer.
